1. Definitions

In these Terms and Conditions:

  • "Company" means WR Gaskets Ltd, registered in England and Wales, with its registered address at Unit 5, Grimsby West Business Park, Birchin Way, Grimsby, DN31 2SJ.
  • "Customer" means the person, firm, or company placing an order with the Company.
  • "Goods" means gaskets, sealing products, packing, jointing materials, stud bolts, and any other products supplied by the Company.
  • "Order" means the Customer's order for Goods as set out in the Customer's purchase order, email, telephone order, or online order.

2. General

These Terms and Conditions apply to all sales of Goods by the Company to the Customer. By placing an order, the Customer accepts these Terms and Conditions in full. No variation to these terms shall be binding unless agreed in writing by a director of the Company.

These terms supersede any terms and conditions that the Customer may seek to impose or incorporate, including any terms contained in the Customer's purchase order.

3. Quotations and Orders

All quotations are subject to availability and are valid for 30 days from the date of issue unless otherwise stated. Quotations do not constitute an offer to sell. A binding contract is formed only when the Company confirms acceptance of an order in writing or by dispatch of the Goods.

The Company reserves the right to decline any order at its discretion.

4. Prices

All prices are quoted in pounds sterling and are exclusive of Value Added Tax (VAT), which will be charged at the prevailing rate. Prices are exclusive of delivery charges unless otherwise stated.

The Company reserves the right to adjust prices if the cost of materials, labour, or other factors change between the date of quotation and delivery. The Customer will be notified of any price changes before the order is processed.

5. Payment Terms

Payment terms are strictly 30 days from the date of invoice unless otherwise agreed in writing. The Company reserves the right to require payment in advance or on a pro-forma basis for new customers or orders above a certain value.

The Company reserves the right to charge interest on overdue accounts at 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

6. Delivery

Delivery dates are estimates only and are not guaranteed. The Company shall not be liable for any loss or damage arising from late delivery. Goods shall be deemed delivered when they leave the Company's premises or are handed to the carrier.

Risk in the Goods passes to the Customer upon delivery. The Customer is responsible for inspecting the Goods upon receipt and must notify the Company of any damage or discrepancy within 48 hours of delivery.

Same day dispatch is available on stock items ordered before midday, subject to availability and at the Company's discretion.

7. Bespoke and Custom-Made Goods

Bespoke gaskets and custom-manufactured products are made to the Customer's specifications. The Customer is responsible for the accuracy of all drawings, dimensions, and specifications provided. The Company shall not be liable for any defect arising from inaccurate or incomplete specifications supplied by the Customer.

Bespoke and custom-made Goods cannot be returned for a refund or exchange unless they are defective or do not conform to the agreed specification.

8. Returns and Cancellations

Standard stock items may be returned within 14 days of delivery, provided they are unused, undamaged, and in their original packaging. A restocking charge of up to 20% may be applied. The Customer is responsible for return shipping costs.

Bespoke, custom-cut, or made-to-order Goods are non-refundable and cannot be cancelled once production has commenced.

9. Warranty

The Company warrants that the Goods will conform to the agreed specification and be free from material defects in materials and workmanship at the time of delivery. This warranty does not extend to defects caused by incorrect installation, misuse, modification, or exposure to conditions beyond the material's stated capabilities.

The Company's liability under this warranty is limited to replacement of the defective Goods or a refund of the purchase price, at the Company's discretion.

10. Limitation of Liability

The Company's total liability in respect of any claim arising out of or in connection with the supply of Goods shall be limited to the price paid for the Goods that are the subject of the claim.

The Company shall not be liable for any indirect, consequential, or special losses, including loss of profit, loss of production, or business interruption, howsoever arising.

Nothing in these terms shall limit the Company's liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

11. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, epidemic, war, strikes, supply chain disruption, or government action.

12. Intellectual Property

All drawings, designs, and technical specifications created by the Company remain the intellectual property of WR Gaskets Ltd and may not be reproduced, copied, or shared with third parties without the Company's written consent.

13. Governing Law

These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
